Public offer

to conclude a licence agreement for the use of Trenev Audio software

Version of 22 October 2026

This is an English translation for convenience. The binding text is the Russian version (clause 13.2).

1. General provisions

1.1. This document is a public offer by Anatoly Viktorovich Trenev, a payer of the professional income tax (self-employed), Russian Taxpayer ID (INN) 222211591555 (the “Licensor”), to conclude a licence agreement (the “Agreement”) on the terms below, in accordance with Article 437(2) of the Civil Code of the Russian Federation.

1.2. Payment for a licence to a Program is acceptance of this offer (Article 438(3) of the Civil Code of the Russian Federation). From the moment payment is received, the Agreement is concluded between the Licensor and the person who paid for the licence (the “Licensee”) on the terms of this offer without any exceptions.

1.3. Downloading, installing and using the Programs in trial mode, or using free Programs, means agreement with sections 2, 4 and 7–10 of this offer as applicable to free use.

2. Terms

2.1. Website — the Licensor’s website at https://trenevaudio.com.

2.2. Program — a computer program (an audio plug-in in VST3 and/or AU format) from the list published on the Website, including its updates. The exclusive right to the Programs belongs to the Licensor.

2.3. Manager — the Trenev Plugins Manager app, in which the Licensee signs in to the account, installs and updates Programs, and pays for and activates licences.

2.4. Account — the Licensee’s record with the Licensor, identified by an email address; sign-in uses a one-time code sent to that address.

2.5. Computer — a separate device of the Licensee on which a licence is activated.

2.6. Trial period — 14 (fourteen) calendar days of fully functional use of a paid Program without payment, once on each Computer.

3. Subject of the Agreement

3.1. The Licensor grants the Licensee a simple (non-exclusive) licence to use the Program paid for, in the following ways: installing (reproducing) and running the Program on no more than 2 (two) Computers of the Licensee at the same time, and using its functions as intended, including for creating and processing sound recordings for commercial purposes.

3.2. Territory of use — worldwide. Term — the entire term of the exclusive right to the Program.

3.3. The Licensee may not: transfer, sell, rent out or otherwise distribute the Program and the licence to third parties; grant sublicences; circumvent technical protection measures; decompile or modify the Program, except as expressly permitted by Article 1280 of the Civil Code of the Russian Federation.

3.4. The Licensee may free a Computer in the Manager and activate the licence on another Computer within the limit of clause 3.1.

3.5. Programs marked on the Website as free are provided free of charge on the terms of clauses 3.1–3.3.

4. Trial period

4.1. Before paying, the Licensee may use a paid Program free of charge during the Trial period to make sure it works on their Computer and suits them.

4.2. After the Trial period ends, the Program still loads, but short pauses (silence) appear in its operation until the licence is paid for. The Licensee’s settings and projects are kept.

5. Fee and payment

5.1. The fee (licence price) is shown on the Website and in the Manager in Russian roubles. No VAT is charged, as the Licensor applies the professional income tax.

5.2. Payment is made by bank transfer through the Robokassa LLC payment service, by bank card or via the Faster Payments System (SBP). Card data is entered on the payment service’s page and is not passed to the Licensor.

5.3. The receipt is generated in the “My Tax” (Moi Nalog) app and sent to the Licensee at the email address given at payment.

5.4. The Licensor may change prices. A price change does not affect licences already paid for.

6. Granting the licence

6.1. The licence is granted from the moment payment is received: the purchase appears in the Account, and the Licensee can activate the Program in the Manager on their Computers.

6.2. Activation on a Computer is done once and requires an internet connection; after that the Program works without a network connection.

6.3. Updates to the Programs released by the Licensor are provided to the Licensee free of charge through the Manager. The Licensor may, but is not obliged to, release updates.

7. System requirements

7.1. The system requirements for the Computer are listed on the Website. The Licensee checks that they are met, including by using the Trial period, before paying.

8. Refunds

8.1. The Licensee may request a refund within 14 (fourteen) calendar days of payment if the Program does not work on a Computer that meets the system requirements and the problem could not be solved together with the Licensor.

8.2. The refund request is sent to the Licensor’s email address, stating the Account address and the name of the Program. The refund is made by the same method as the payment, within 10 (ten) business days of receiving the request.

8.3. After a refund, the licence ends and the Program’s activations are cancelled.

8.4. The Licensee’s rights as a consumer under the Law of the Russian Federation No. 2300-1 of 07.02.1992 “On Consumer Rights Protection” are not limited by this section.

9. Liability

9.1. The Program is provided as it exists at the time it is provided (“as is”). The Licensor does not guarantee compatibility of the Program with any hardware and software beyond what is stated in the system requirements.

9.2. The Licensor is not liable for indirect losses and lost profits of the Licensee arising from the use of the Program. In any case, the Licensor’s liability under the Agreement is limited to the amount paid by the Licensee for the relevant licence, unless the law provides otherwise.

9.3. If the Licensee breaches clause 3.3, the Licensor may withdraw from the Agreement and cancel the licence.

10. Personal data

10.1. To perform the Agreement, the Licensor processes the Licensee’s email address, purchase details and Computer identifiers in accordance with Federal Law No. 152-FZ of 27.07.2006 “On Personal Data” and the Privacy Policy published on the Website: https://trenevaudio.com/privacy.html.

11. Force majeure

11.1. The parties are released from liability for failure to perform, or improper performance of, their obligations under the Agreement if it became impossible due to force majeure (prohibitive actions of authorities, epidemics, blockade, embargo, natural disasters, etc.). The party affected by such circumstances notifies the other party within 30 (thirty) business days.

12. Validity and changes to the offer

12.1. The offer takes effect when it is published on the Website and remains valid until withdrawn by the Licensor.

12.2. The Licensor may change the offer by publishing a new version on the Website. The new version applies to agreements concluded after its publication; licences already paid for are governed by the version in force on the date of payment.

13. Disputes

13.1. The Agreement is governed by the laws of the Russian Federation. The parties settle disputes through negotiation; a written claim procedure is mandatory, with a response period of 10 (ten) business days. Unresolved disputes are settled in court in accordance with the laws of the Russian Federation.

13.2. The language of the Agreement and of the parties’ correspondence is Russian.
